MACVISOR END USER LICENSE AGREEMENT Last updated: October 24, 2026 This End User License Agreement ("EULA") is a legal agreement between you ("you") and ScaleNinja Software LLP ("ScaleNinja", "we", "us"), a Limited Liability Partnership registered in India, for MacVisor: the app, its background service and helpers, the mvz command-line tool, the guest tools it installs in virtual machines, its documentation, and their updates (together, "MacVisor"). By installing or using MacVisor you agree to this EULA. If you do not agree, do not install or use MacVisor. If you use MacVisor for an organization, you confirm that you may bind it to this EULA, and "you" then means that organization and the people it lets use MacVisor. 1. LICENSED, NOT SOLD MacVisor is licensed, not sold. ScaleNinja and its licensors keep all rights in MacVisor, including copyrights, trademarks and trade secrets. You get only the rights this EULA gives you. 2. YOUR LICENSE Subject to this EULA and to paying for your license, ScaleNinja gives you a limited, non-exclusive, non-transferable license to install and use MacVisor for your own personal or internal business purposes, as follows: a. MacVisor 27 Pro (a one-time license): on up to two Macs at a time, for every MacVisor 27.x release, with no end date. b. MacVisor Subscription (sold as Business and Enterprise): on as many Macs at a time as you paid for, for as long as the subscription is paid, including new major versions released during that time. c. Free trial: on one Mac, once per Mac, for 30 days. Getting more trials through other accounts, reinstalls or changed device identifiers is a breach of this EULA. One license covers every user account on each Mac it is activated on. You may move a license to another Mac by deactivating it on a Mac it is on (or with Move to This Mac in the app). Prices, editions and what each includes are described at https://scaleninja.com/docs/macvisor/pricing/, which forms part of this EULA. MacVisor checks your license with ScaleNinja's licensing service when you activate it, every few days while the Mac is online, and after updates. It keeps working offline for up to 30 days after the last successful check; after that, creating new virtual machines pauses until the Mac is online again. Virtual machines you already have keep running. 3. YOUR RESPONSIBILITIES a. Guest operating systems. MacVisor runs operating systems and software made by others (macOS, Linux distributions, Windows and the software inside them). ScaleNinja grants no rights to them. You must hold and follow their licenses. Apple's macOS license, for example, limits how many macOS virtual machines may run on a Mac and for what purposes, and Windows needs a Windows license from Microsoft. b. AI sandboxes and models. When you use MacVisor with AI models or coding agents, you are responsible for the models and agents you choose, for your accounts and API keys with model providers and the charges they make, for following those providers' terms, and for reviewing any changes an agent makes before you use them. c. Your data. Virtualization software can lose or damage data, for example when a disk fills up, the Mac loses power or an update changes a format. Keep independent backups of anything that matters, inside and outside your virtual machines. d. Your keys and credentials. Keep your license key and the passwords of your virtual machines safe. You are responsible for what is done with them. 4. RESTRICTIONS Except where the law or an open-source license for a specific component allows it, you may not: a. copy, sell, rent, lend, sublicense or give others access to MacVisor itself (running your own workloads with MacVisor, including for your customers, is use, not distribution); b. modify, translate or make derivative works of MacVisor; c. reverse engineer, decompile or disassemble MacVisor; d. remove or change copyright, trademark or license notices; e. get around license checks, device limits or other technical limits; f. use MacVisor to build a competing product; g. use MacVisor unlawfully, to harm others' systems or data, or for malware, unauthorized access or surveillance; or h. use MacVisor where its failure could cause death, injury or severe damage, unless ScaleNinja has agreed to it in writing. 5. OPEN-SOURCE COMPONENTS MacVisor includes open-source components, listed in its THIRD-PARTY-NOTICES file. Each is licensed to you under its own license, which prevails over this EULA for that component. 6. UPDATES, BETAS AND TECH PREVIEWS ScaleNinja may provide updates, which are covered by this EULA unless they come with their own terms. MacVisor can install updates automatically if you turn that on. Beta releases, and features marked Tech Preview (such as Windows guests and AI sandboxes), are offered as they are: they may be incomplete, change, lose data or be removed. Use them at your own risk. 7. PRIVACY MacVisor runs on your Mac. It does not send ScaleNinja the contents of your virtual machines, your files or how you use the app. To license MacVisor, the app sends ScaleNinja's licensing service: SHA-256 hashes of the Mac's hardware UUID and serial number, its hardware model (never its computer name), the MacVisor and macOS versions, a device public key, and, except for the trial, your license key. The service stores the identifiers only as keyed hashes, keeps a keyed hash of your IP address for 2 days when a trial starts, and keeps a record of each Mac's trial so that each Mac gets one. Polar, which sells MacVisor, handles your purchase details under its own privacy policy. Problem reports are made on your Mac and sent only if you send them. See https://scaleninja.com/privacy and https://scaleninja.com/docs/macvisor/security/. 8. PAYMENTS AND REFUNDS Polar is MacVisor's merchant of record: it handles checkout, taxes, invoices, subscriptions and refunds, and is your contract partner for the payment. Refunds follow the policy on the pricing page. 9. FEEDBACK If you send us suggestions or bug reports, we may use them without obligation to you. 10. TERMINATION You may end this EULA by deleting MacVisor. ScaleNinja may end it if you breach it, for example by going beyond your license. Then you must stop using MacVisor and delete it. Sections 1, 3, 4, 7 and 11 to 15 continue to apply. 11. NO WARRANTY TO THE EXTENT THE LAW ALLOWS, MACVISOR IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND SCALENINJA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ERROR-FREE OR UNINTERRUPTED OPERATION. SCALENINJA DOES NOT WARRANT THAT MACVISOR WILL PREVENT DATA LOSS OR SECURITY INCIDENTS. 12. LIMITATION OF LIABILITY TO THE EXTENT THE LAW ALLOWS, SCALENINJA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS OR BUSINESS, ARISING FROM MACVISOR OR THIS EULA. SCALENINJA'S TOTAL LIABILITY IS LIMITED TO WHAT YOU PAID FOR MACVISOR IN THE TWELVE MONTHS BEFORE THE CLAIM. NOTHING IN THIS EULA LIMITS LIABILITY THAT THE LAW DOES NOT ALLOW TO BE LIMITED. 13. INDEMNIFICATION To the extent the law allows, you will defend and indemnify ScaleNinja against claims arising from your breach of this EULA, your breach of law, or your infringement of others' rights through your use of MacVisor. 14. EXPORT CONTROL You may not use or export MacVisor in breach of export control or sanctions laws, or if you are subject to such sanctions. 15. GOVERNING LAW This EULA is governed by the laws of India, except where your local consumer law requires otherwise. Subject to any mandatory consumer rights, the courts of Gurugram, Haryana, India have exclusive jurisdiction over disputes about this EULA or MacVisor. 16. GENERAL Nothing in this EULA limits rights that consumer or data-protection law gives you. If a provision is unenforceable, the rest still applies. This EULA, the pricing page and any separate written agreement with ScaleNinja are the whole agreement about MacVisor; a separate signed agreement prevails. You may not transfer this EULA without our written consent; we may transfer it with our business. ScaleNinja may update this EULA; the current version is at https://scaleninja.com/macvisor/EULA.txt, and a change applies to a release when you accept it in the app or install an update that includes it. 17.
